• Website access

• Appropriate permissions and licenses
• Payment information
• Timely approvals and feedback

Clients are responsible for ensuring that the products, services, claims, content, and materials they provide comply with applicable laws and platform policies.

3. Advertising Account Access

To provide our services, clients may need to grant The Vertex Solutions access to advertising platforms, business managers, analytics platforms, websites, social media accounts, or related systems.

Clients remain responsible for ownership and control of their accounts unless otherwise agreed in writing.

We will use account access only as reasonably necessary to perform the agreed services.

4. Advertising Spend

Unless expressly stated otherwise in writing, advertising spend paid to platforms such as Google, Meta, Facebook, Instagram, or other advertising networks is separate from The Vertex Solutions’ service fees.

The client is responsible for all advertising budgets, media spend, platform charges, taxes, and related third-party costs associated with their campaigns.

5. Fees and Payments

Service fees will be communicated through a proposal, invoice, agreement, or other written communication.

Clients agree to pay all applicable fees according to the agreed payment schedule.

Failure to make payment when due may result in:

• Suspension of services
• Suspension of campaign management
• Delayed delivery
• Termination of services

Any refund eligibility will be determined according to the applicable agreement and circumstances of the service.

Advertising spend already paid or charged to third-party platforms may not be refundable by The Vertex Solutions.

6. No Guarantee of Advertising Results

Digital advertising performance depends on numerous factors outside our direct control, including:

• Market conditions
• Competition
• Customer demand
• Advertising budget
• Website quality
• Product pricing
• Offer quality
• Industry
• Target audience
• Platform algorithms
• Platform policies
• Account history
• Creative performance

The Vertex Solutions does not guarantee a specific number of sales, leads, clicks, conversions, revenue, profit, return on advertising spend, search position, or other particular business outcome unless expressly agreed in writing.

Past performance does not guarantee future results.

7. Advertising Platform Decisions

Third-party advertising platforms independently control their systems and policies.

An advertising platform may:

• Reject advertisements
• Restrict advertisements
• Suspend campaigns
• Disable advertising accounts
• Change targeting options
• Change pricing
• Change algorithms
• Change platform policies
• Limit or discontinue features

The Vertex Solutions is not responsible for decisions made independently by third-party advertising platforms.

We may assist clients with reasonable troubleshooting or appeals where appropriate, but we cannot guarantee the reversal of a platform decision.

8. Intellectual Property

Unless otherwise agreed in writing, The Vertex Solutions retains ownership of its:

• Strategies
• Templates
• Systems
• Workflows
• Proprietary methods
• Pre-existing materials

Clients retain ownership of materials they provide to us.

The client grants The Vertex Solutions permission to use materials provided by the client to the extent reasonably necessary to provide the agreed services.

Ownership of custom deliverables may be further defined in a separate written agreement.

9. Client Content

Clients represent that they have the necessary rights, permissions, licenses, and authority to provide all content submitted to The Vertex Solutions.

The Vertex Solutions is not responsible for copyright, trademark, privacy, or other claims resulting from materials supplied by the client.

10. Prohibited Use

Clients may not use our services to promote unlawful, fraudulent, deceptive, abusive, or prohibited activities.

We may refuse, suspend, or terminate services where we reasonably believe a campaign or business activity violates applicable law, third-party advertising policies, or our business standards.

11. Confidentiality

We will take reasonable measures to protect confidential client information provided in connection with our services.

Clients must also protect confidential information belonging to The Vertex Solutions, including proprietary systems, strategies, pricing structures, passwords, and internal materials.

12. Service Availability

We aim to provide reliable and professional services, but continuous or uninterrupted availability cannot be guaranteed.

Services may be affected by:

• Platform outages
• Software errors
• Third-party disruptions
• Security events
• Scheduled maintenance
• Events beyond our reasonable control

13. Limitation of Liability
